1. Scope of Advisory & Exclusive B2B Applicability
Professional consulting services rendered by Gabriele Ilardi are provided strictly to B2B clients (corporations, commercial enterprises, public entities, venture-backed startups, and registered businesses with a valid VAT/Tax ID), with explicit exclusion of consumer transactions (B2C). Engagements encompass information security governance (ISO/IEC 27001, European NIS2 Directive), AWS/GCP cloud security hardening, systems engineering, and secure-by-design software architectures.
2. Mutual Non-Disclosure Agreement & Professional Secrecy
All client information, network topologies, architecture diagrams, vulnerability reports, ephemeral access keys, or strategic business insights exchanged during discovery, scoping, or project execution are strictly confidential. Data is protected under rigorous professional secrecy and ISO/IEC 27001 controls. No confidential material will ever be shared or disclosed to external third parties without prior written consent.
3. Statement of Work (SOW) & Rules of Engagement (RoE)
Each advisory engagement is formalized via a comprehensive Statement of Work (SOW) defining milestones, specific deliverables, verification criteria, timelines, and compensation. Technical vulnerability assessments, configurations audits, and simulations are conducted strictly under signed Rules of Engagement (RoE).
4. Exclusive Jurisdiction & Governing Law
All consulting agreements and contractual obligations are exclusively governed by the laws of Italy. For any disputes arising from the interpretation, performance, or termination of advisory services, the Court of Milan (Foro di Milano, Italy) holds sole and exclusive jurisdiction.
